1. Introduction.
These Terms & Conditions (“Agreement”) govern the relationship between ZoviPay (“ZoviPay,” “we,” “our,” or “us”) and the Merchant, who uses ZoviPay’s payment processing services. By using our services, the Merchant agrees to comply with these Terms.

2. Scope of Services.
ZoviPay provides secure payment processing, including card acquiring, alternative payment methods (APMs), local bank transfers, and multi-currency settlements. Services include account setup, integration support, fraud prevention, and real-time compliance monitoring.

3. Merchant Responsibilities.
The Merchant must:
• Operate a legally registered and licensed business;
• Provide accurate KYC/KYB information;
• Avoid prohibited or illegal activities;
• Notify ZoviPay of any changes in ownership or business structure.
ZoviPay may suspend services if non-compliance, fraud, or regulatory issues are detected.

4. Fees and Settlements.
All applicable fees and charges are defined in the Merchant Agreement and are non-refundable.

5. Data Protection and Confidentiality.
ZoviPay processes personal data in line with the GDPR, UK Data Protection Act, and other applicable laws. Both parties agree to maintain the confidentiality of all non-public information.

6. Governing Law and Disputes.
This Agreement is governed by the laws of the United Kingdom. Any dispute shall be resolved through arbitration in English.

7. Amendments.
ZoviPay may update these Terms with seven (7) days’ prior notice. Continued use of services constitutes acceptance of the revised terms.
